Terms and conditions of sale

These terms and conditions apply to all sales of goods by P4 Science Limited and form the entire basis of the contract between us and our customers. By placing an order with us, you agree to be bound by these terms. Please read them carefully.

Throughout these terms, "we", "us" and "our" refer to P4 Science Limited, registered in England and Wales under number 16684608, with our registered office at 10 Talon Court, Eagle Business Park, Yaxley, Peterborough, PE7 3FW. "You" or "Buyer" refers to the person or entity placing an order with us.

1. Orders, confirmation and cancellations

  • A quotation issued by us is subject to withdrawal or amendment at any time before we accept your order. A contract is formed when you accept a quotation by issuing a purchase order or providing written confirmation, including by email. Quotations are valid for 30 days from the date of issue unless otherwise stated.

  • You are responsible for ensuring all details in your order are correct, complete and accurate. We are not liable for errors resulting from inaccurate information you provide.

  • You may cancel an order by written notice no later than 48 hours after we confirm it. Cancellation requests received after this point will only be accepted at our discretion. Where goods have already been dispatched, you must arrange their return at your own cost using a tracked and insured service, and bear all associated shipping and handling charges. We will refund any upfront payment already cleared, less the cost of outbound shipping.

2. Pricing and VAT

  • All prices are as stated in our quotation or invoice and are in pounds sterling (GBP) unless otherwise agreed. Prices are fixed for the duration of the contract.

  • All prices are exclusive of VAT. VAT will be charged at the prevailing rate where applicable under UK law and will be itemised on all invoices.

  • We reserve the right to correct any pricing error in a quotation before a contract is formed. If you have already accepted an order based on an incorrect price, we will notify you and you may either accept the corrected price or cancel the order without penalty.

3. Payment terms

  • A payment of 50% of the total invoice value is due upfront upon acceptance of a quotation. The remaining 50% is invoiced upon dispatch and is due within fourteen business days of receipt of that invoice.

  • The remaining 50% is payable regardless of whether delivery has taken place or title in the goods has passed to you. All payments must be made in British pounds unless otherwise agreed in writing.

  • Title (ownership) of goods does not pass to you until we have received payment in full. Risk in the goods passes to you upon dispatch, regardless of when title transfers.

4. Dispatch and delivery

  • We will dispatch in-stock goods within 48 hours of a confirmed purchase order, excluding weekends and UK public holidays, unless you arrange collection.

  • Any delivery timescales we provide are estimates only. Time of delivery is not of the essence unless expressly agreed in writing.

  • We will pack goods appropriately for delivery. No changes to packaging will be made unless agreed in writing. Goods are deemed delivered when a packed consignment is loaded for delivery at our premises.

  • Risk of loss or damage passes to you upon dispatch. You should inspect goods promptly on receipt and notify us in writing of any damage or discrepancy within five business days of delivery or collection.

  • We warrant that goods dispatched to you will have a minimum remaining shelf life of 12 months from the date of dispatch, unless otherwise agreed in writing.

  • Our prices and delivery obligations are quoted on an ex-works or dispatched basis within the United Kingdom unless otherwise agreed. Where goods are to be exported from the UK, you are responsible for obtaining all necessary licences and permits, ensuring compliance with the laws of the destination country, and paying all customs duties, import taxes, and related charges.

5. Warranty

  • We warrant that at the time of dispatch, goods will conform in all material respects to the product specification and be free from defects. The warranty period is 12 months from the date of dispatch.

  • Where a warranty claim is accepted, we will provide a free replacement and cover the cost of return shipping. We do not offer any other remedy (including a refund) unless required under applicable law.

  • The warranty does not apply where goods have been used, stored, or handled in a manner inconsistent with the instructions for use (IFU); where goods have been modified, misused, or subjected to conditions outside those specified; or where you have not notified us of the defect within the warranty period.

6. Returns

  • These provisions apply to returns of non-defective goods. Defective goods are addressed under the warranty terms above.

  • You may return goods within 30 days of the date of dispatch, provided they are unused and in original, unopened packaging. You must notify us in writing and obtain our authorisation before returning any goods. Return shipping is at your cost via a trackable, insured service, unless otherwise agreed.

7. Refunds

  • Refunds will only be considered where goods are confirmed by us to be defective or damaged upon delivery. In all other cases, returns will be processed as a refund, credit note, or exchange at our discretion.

  • Approved refunds will be credited to the original payment method within a reasonable period — typically five to ten business days, subject to your payment provider. Original outbound delivery charges are non-refundable unless the return is due to our error or a confirmed defect.

8. Liability

  • Goods must be used in accordance with the instructions for use (IFU) provided with each product. You are responsible for ensuring all end users of the goods are made aware of and comply with the IFU.

  • We are not liable for any loss, damage, harm, or liability arising from use of the goods in a manner inconsistent with the IFU or with any applicable law or regulation.

  • Nothing in these terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any liability that cannot be excluded or limited under applicable law.

  • Subject to the above, our total liability to you under or in connection with any contract shall not exceed the total price paid or payable by you for the goods giving rise to the claim. We are not liable for any loss of profit, revenue or anticipated savings; loss of business, goodwill, or opportunity; indirect, consequential, or special loss; or loss arising from your or any end user's failure to comply with the IFU or relevant regulations.

9. Intellectual property

  • All intellectual property rights in or arising from the goods — including trademarks, trade secrets, and regulatory data, remain the exclusive property of P4 Science Limited. Purchasing goods does not grant you any licence or right to use our intellectual property beyond what is necessary for the normal use of the goods in accordance with the IFU.

10. Data and privacy

  • Each party shall comply with all applicable data protection legislation, including the UK GDPR and the Data Protection Act 2018. We process personal data provided by you — such as contact details and billing information — for the purposes of fulfilling the contract, managing the customer relationship, and complying with our legal obligations. 11. Force majeure

  • Neither party shall be liable for any failure or delay in performing their obligations where such failure or delay results from any cause beyond their reasonable control. This includes power failure, internet service provider failure, industrial action, civil unrest, fire, flood, storms, earthquakes, acts of terrorism, acts of war, or governmental action.

12. General

  • These terms constitute the entire agreement between us with respect to the sale of goods and supersede all prior agreements, representations, and understandings. Any variation must be agreed in writing and signed by an authorised representative of P4 Science Limited.

  • If any provision of these terms is found to be unlawful, invalid, or unenforceable, that provision shall be severed from the remainder, which shall remain valid and enforceable. A failure or delay by us in exercising any right or remedy does not constitute a waiver of that right.

  • You may not assign or transfer any of your rights or obligations under a contract without our prior written consent. We may assign our rights and obligations on written notice to you.

  • All notices under these terms must be in writing, delivered by email to the relevant address on the invoice or quotation, or by post to the registered address of the relevant party. These terms do not confer any rights on any third party under the Contracts (Rights of Third Parties) Act 1999.

  • These terms and conditions (including any non-contractual matters arising from them) are governed by the laws of England and Wales. Any dispute between us shall fall within the jurisdiction of the courts of England and Wales.
